In 2004 discussions began between the ownership of Bertram Controls and Pearse-Pearson Company. These discussions focused on finding ways to continue to provide the singular service and product deliverables that marked the strength of both companies, while, at the same time, successfully integrating common internal services and functions so as to improve efficiency, lower operating costs, and assure continued profitability under current and future market conditions.
The discussions resulted in the formation of Pearse Bertram LLC in January of 2006. This joint venture created one of the largest and most experienced industrial distributors in New England. The combined resources under Pearse Bertram will now allow us to provide an unparalleled customer experience with even better products and even better service. Bertram Controls was formed in 1995 to serve the ever growing instrumentation and control markets in the greater New England region. Carrying a broad spectrum of high quality valves, fittings, air preparation equipment, and instrumentation products, Bertram Controls quickly earned a reputation as one of the highest quality and most experienced process control distributors in New England. Headquartered in Farmington, CT, Bertram Controls focused on the analytical, medical, semiconductor and other process-oriented markets. It soon became one of the industry’s leading specialty suppliers of precision process control products in the entire Northeast.
Pearse-Pearson Company was incorporated in Bloomfield, CT in 1947. The mission was to supply the growing machine tool industry with only the highest quality pneumatic and hydraulic components and systems available. Throughout the 1960’s and 1970’s, the company focused primarily on the OEM market in New England and grew to be one of the largest and most well respected fluid power distributors in the industry. As the market moved toward higher tech industries, Pearse-Pearson Company acquired expertise in new technologies such as PLC’s, sensors, and other electrical controls. The company now offers one of the highest quality and most extensive product lines in New England. Through four generations of ownership, Pearse-Pearson Company has become one of the largest industrial automation distributors in the entire Northeast.
Pearse Bertram, LLC
Discussions between ownership of Bertram Controls and Pearse-Pearson Company resulted in the formation of Pearse Bertram, LLC in 2006. The joint venture created one of the largest and most experienced control and automation distributors in New England. Company president Jonathan Pearse is a fourth generation owner, who oversees an expanding range of products and services. The combined venture now offers first-in-class products for all aspects of industrial automation, including motion control and process control.

Conflict Minerals Policy
The U.S. Securities and Exchange Commission (“SEC”) adopted final rules to implement reporting and disclosure requirements related to “conflict minerals,” as directed by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (“ACT”). The rules require manufacturers who file certain reports with the SEC to disclose whether the products they manufacture or contract to manufacture contain “conflict minerals” that are “necessary to the functionality or production” of those products.
As a global assembler of electromechanical assemblies, Pearse Bertram, LLC and Affiliates (“Pearse Bertram”) promotes the traceability of these minerals and the transparency of the supply chain. While Pearse Bertram, as an assembler of purchased components, is not able to certify as to the country of origin of the minerals contained in the products manufactured by Pearse Bertram’s suppliers, Pearse Bertram is committed to working with its customers to supply products that meet the customer’s specifications by requiring Pearse Bertram’s vendors to disclose the country of origin of the minerals covered under the ACT. These disclosers will be made available to our customers, on request, to the extent that Pearse Bertram has received them from our vendors.
Pearse Bertram’s policy is to not knowingly purchase products that contain conflict minerals that directly or indirectly finance or benefit armed groups in the DRC or adjoining countries. Pearse Bertram has issued a statement to our suppliers and expects its suppliers to only source minerals from responsible sources. Pearse Bertram fully understands the importance of this issue to its customers and is committed to supply chain initiatives and overall corporate social responsibility and sustainability efforts that work towards a conflict free supply chain. We are encouraging all of our suppliers to likewise support these efforts and make information on the origin of their product components easily accessible.

COMPLIANCE TO EUROPEAN UNION DIRECTIVES
RoHS & WEEE
Pearse Bertram, LLC and their respective global customers require assurance that products are assembled and delivered in compliance with the requirements defined within RoHS Directive 2011/65/EU and WEEE Directive 2002/96/EC.
Operating as an electro-mechanical contract manufacturer, Pearse Bertram, by nature of its business, is required to assemble products derived directly from our customer’s bills of material, detail drawings and specifications. We assume that the customer has considered all issues concerning regulatory compliance when formulating specifications and entering into a supplier relationship with Pearse Bertram, LLC. Therefore, we cannot accept any liability for RoHS or WEEE compliance.
If our customers do not specify materials, Pearse Bertram will make RoHS or WEEE materials available to our customers for consideration as part of the quotation activity. If a customer is unsure of the compliance of the materials they currently specify, Pearse Bertram can review the bills of material and recommend alternatives where applicable.
It is our collective intent to work and provide assemblies to our customers that meet ALL of the most current environmental and regulatory standards and requirements.

REACH (“Regulation (EC) No 1907/2006 of the European Parliament and of the Council of 18 December 2006 concerning the Registration, Evaluation, Authorization and Restriction of Chemicals (REACH)”) is a European Union (EU) chemicals regulation that entered into force on 1 June 2007, with phased deadlines to 2018. Approximately every 6 months, the European Chemicals Agency ECHA publishes a chemical candidate list of Substances of Very High Concern (SVHC). The latest candidate list of 155 SVHC chemicals was published on 16 June 2014. See list here.

While Pearse Bertram, as an assembler of purchased components, is not able to certify REACH requirements contained in the products manufactured by Pearse Bertram’s suppliers and specified by our customers, Pearse Bertram is committed to working with its customers to supply products that meet the customer’s specifications regarding REACH requirements and will provide any and all disclosures to our customers, on request, to the extent that Pearse Bertram has received them from our vendors.
Pearse Bertram’s policy is to not knowingly purchase products that violate directly or indirectly the requirements of the REACH requirements. Pearse Bertram has issued a statement to our suppliers and expects its suppliers to only source materials that are REACH compliant. Pearse Bertram fully understands the importance of this issue to its customers and is committed to supply chain initiatives and overall corporate social responsibility and sustainability efforts that work towards providing products and services that are safe to use and have a low environmental impact throughout their lifecycle.
Pearse Bertram and its suppliers have taken the necessary action to meet the requirements of REACH to ensure that the products Pearse Bertram assembles for our customers will continue to meet REACH requirements as defined by the customer design provided to Pearse Bertram.
